The Central Bank of Nigeria (CBN) will require an issuer of a stablecoin tied to a foreign currency, including the US dollar, to hold ₦15 billion in paid-in capital, and it may set a higher floor. A naira-tied coin will need ₦10 billion on the same terms. The figures are in the Bank's [virtual-asset regulations](https://www.cbn.gov.ng/Out/2026/CCD/REGULATIONS%20FOR%20THE%20OPERATIONS%20OF%20NON-SECURITY%20VIRTUAL%20ASSETS%20IN%20NIGERIA.pdf).

The CBN will name the start date in the issuing instrument, and the transition clock runs from that date. [Punch](https://punchng.com/cbn-sets-n15bn-capital-requirement-for-dollar-stablecoin-issuers/) reports a 5 November 2026 circular signed by Musa Jimoh, head of payments-system policy, and says the rules took effect that day. The text itself prints no calendar start.

A security, an investment contract, or a capital-market product stays with the Securities and Exchange Commission. The CBN text covers stablecoins, deposit money tokens (a bank's token for a naira deposit the customer already holds), and virtual-asset service providers, when the activity is in Nigeria, comes from Nigeria, or is aimed at people there.

## Who may offer a dollar coin

People in Nigeria will receive a foreign-currency coin only from a Nigerian company issuing it as Class 2 under a CBN licence. Class 2 tracks a currency other than the naira. Foreign approval, or a deal with a Nigerian middleman, still leaves that licence and a token approval to obtain. The firm will need a staffed Nigerian office for its senior managers, a resident chief compliance officer, local cash-out work, and records readable in Nigeria. [TechCabal](https://techcabal.com/2026/11/06/cbn-new-rules-foreign-stablecoin-issuers/) names Tether and Circle, plus USDT and USDC, as caught by that rule.

## ₦15 billion (about US$11 million) paid in

Section 15 sets Class 2 at ₦15 billion already paid in, "or such higher amount as the Bank may prescribe," and uses that phrase again for the ₦10 billion Class 1 floor. TechCabal converts the two floors to about US$11.16 million and US$7.44 million.

Other services in the rulebook, short of issuance, will mean at least ₦1 billion, or more if the CBN decides. [Nairametrics](https://nairametrics.com/2026/11/06/cbn-sets-n15-billion-capital-requirement-for-foreign-stablecoin-issuers-tightens-p2p-crypto-rules/) includes exchanges, wallet providers, and payment businesses in that group. Where a Securities and Exchange Commission licence is already held, the ₦1 billion will come on top, and the same money will not be counted twice.

Eligible capital will be cash in a capital account at the CBN, or federal government securities held by a custodian the Bank has cleared, with a lien for the Bank. It will stand apart from reserves, customer funds, and operating cash. Any shortfall will be reported at once, with a rebuild plan 10 business days later.

## Reserves at par, a 2% cushion, no yield

Reserves will at least match the face value of stablecoins owed, at all times. A cushion of at least 2% of circulating face value covers valuation losses and accrued operating liabilities, and releasing it takes the CBN's approval. Minting will wait until matching eligible reserve assets are in the pool.

A cash-out at face value will be enforceable, in the coin's currency, by the close of the business day after a valid request. In a stress event the CBN may, if the issuer applies, allow up to five business days. A standard cash-out will carry no fee. The CBN may approve a cost-based fee for a non-standard settlement if the disclosure document and the contract already showed it.

Each month an approved outside auditor will attest the reserves under ISAE 3000, or an equivalent the CBN accepts. The issuer will publish that note and file it within 15 business days of month-end.

Section 13.3 will bar interest, yield, dividends, and any other financial benefit for holding the coin or leaving it with the issuer. A service provider will not be the way around that bar. Algorithmic stablecoins will be prohibited: tokens that hold a peg mainly by changing supply, without full reserves. So will fiat-referenced tokens backed mostly by other virtual assets, and tokens sold as stablecoins with no enforceable cash-out at face value.

## Names, BVNs, and platform trades

Platform-facilitated peer-to-peer trades will need a specific CBN approval, which may limit tokens, customers, channels, foreign exchange, and place. Another permission will leave that service out until the CBN adds it. Two people moving coins alone, with nobody else helping, holding, or settling, will fall outside this section.

Section 10.3.3 will withhold the regulated token, whether by release or by credit, until the name and the Bank Verification Number on the naira account match the customer already checked. The account may be the one that sent the naira or the one that got it. BVN is the number Nigerian banks use to connect an account to a person. A mule account, a nominee, a third-party account, or an invented wallet cannot knowingly hide the parties. The token movement and the naira payment will have to be tied in the records.

## Freeze, burn, and block in the contract

The smart contract will freeze a wallet or a balance when a court, the CBN, or the Nigerian Financial Intelligence Unit orders it, burn coins at a frozen or seized address if a court or the regulator orders it, and block wallets linked to laundering, sanctions breaches, terrorist financing, or proliferation financing. More than one person will control the keys. Notice will go to the CBN within 24 hours.

## 180 days after the start date

An operator already in business will have 180 calendar days after commencement to apply. It may keep operating only at its current scale, and only on interim conditions, if it registers within 30 days, meets illicit-finance rules from the start date, starts supervisory reporting within 60 days or earlier if the CBN so sets, and files a complete application in time. Otherwise it will stop until the licence or authorisation is granted.

Class 2 activity already underway will be tested for a Nigerian company, an issuer licence, and service-provider approval. Carrying on through that review needs express interim permission from the CBN, and the permission is limited to the review. Platforms that already match these trades will apply for the Section 10 approval in that window, on the same interim footing.

TechCabal writes that the CBN has not yet named the day the 180 days open.
